EOR Agreements

After completing Company Setup, you'll need to review and sign three legal agreements before you can hire employees through Omnivoo's EOR service. These agreements establish the legal framework for the employer of record relationship.

Agreements are signed electronically and are legally binding under the ESIGN Act and UETA. You can request paper copies at any time by contacting contact@omnivoo.com.

Overview

There are three agreements to review and sign:

All three must be accepted and signed before you can proceed to hiring.

Agreement 1: Master Service Agreement (MSA)

The MSA is the primary contract governing the employer of record relationship. It covers:

  • Omnivoo's role as the legal employer
  • Your rights and responsibilities as the client
  • Intellectual property ownership
  • Service scope and limitations
  • Termination and dispute resolution
Custom MSA

Some companies may have a custom MSA negotiated with Omnivoo. If your company has a custom agreement, it will be displayed instead of the standard MSA. You can view it directly in the browser or download it.

To accept the MSA:

  1. Read through the full agreement in the scrollable document viewer.
  2. Click "Download" if you'd like to save a copy for your records.
  3. Check the box: "I have read and agree to the Master Service Agreement"
  4. Provide your signature (see Signing Agreements below).

Agreement 2: Data Processing Agreement (DPA)

The DPA governs how employee personal data is handled, specifically in compliance with India's Digital Personal Data Protection (DPDP) Act 2023. It covers:

  • Data collected: Employee names, contact details, ID documents, bank details, tax information, and salary details.
  • Processing purpose: Payroll administration, statutory compliance (PF, ESI, TDS), benefits administration, and government filings.
  • Your rights: You can withdraw consent at any time by contacting contact@omnivoo.com or through your account settings.
  • Complaints: You may file complaints with the Data Protection Board of India as established under the DPDP Act, 2023.
Data privacy

Withdrawal of consent will not affect the lawfulness of processing carried out before the withdrawal. Certain data may need to be retained for statutory compliance even after consent withdrawal.

To accept the DPA:

  1. Read through the agreement and the Data Processing Notice.
  2. Click "Download" to save a copy.
  3. Check the box: "I have read and agree to the Data Processing Agreement"
  4. Provide your signature.

Agreement 3: Commercial Addendum

The Commercial Addendum supplements the MSA with specific commercial terms:

  • Service fees and pricing structure
  • Payroll processing timelines and SLAs
  • Employee management responsibilities
  • Termination procedures and notice periods
  • Liability caps and indemnification

To accept the Commercial Addendum:

  1. Read through the addendum in the scrollable viewer.
  2. Click "Download" to save a copy.
  3. Check the box: "I have read and agree to the Commercial Addendum"
  4. Provide your signature.

Signing Agreements

Each agreement requires an individual signature. You have two options:

Option 1: Type Your Name

  • Select the "Type Name" tab.
  • Type your full legal name in the signature field.
  • Your name appears in a signature-style font.

Option 2: Draw Your Signature

  • Select the "Draw Signature" tab.
  • Use your mouse or touchscreen to draw your signature on the signature pad.
  • Click "Clear" to start over if needed.

The person signing must be the authorized signatory designated during Company Setup. Their name and title are displayed at the top of the agreements page for confirmation.

Electronic Records Disclosure

Before signing, you'll see an Electronic Records Disclosure. By accepting these agreements electronically:

  • You consent to conduct this transaction electronically under the ESIGN Act and UETA.
  • You can request paper copies at any time by emailing contact@omnivoo.com at no charge.
  • You can withdraw electronic consent at any time.
  • You need a modern web browser with JavaScript enabled to access and retain these records.

Completing the Process

Once all three agreements are accepted and signed, click "Accept & Continue to Hiring". You'll be taken directly to the hiring wizard to add your first EOR employee.

If you've previously accepted all agreements, visiting this page will automatically redirect you to the hiring wizard. No need to re-sign.

Downloading Your Agreements

You can download a copy of each agreement at any time from the agreements page:

  • Standard agreements — Click the "Download" link next to each agreement title. The document is saved as a text file.
  • Custom MSA — If you have a custom MSA, use the download link or "Open in new tab" to access the original document.

Common Questions

Can I negotiate custom terms? Yes. Contact contact@omnivoo.com to discuss custom MSA terms. Custom agreements are displayed in place of the standard MSA on the agreements page.

What if I need to update the authorized signatory? Contact Omnivoo support to update your signatory. Agreements previously signed remain valid.

Are the agreements versioned? Yes. Each agreement has a version number (e.g., v1.0) displayed next to its title. If Omnivoo updates an agreement, you'll be notified and may need to review and accept the new version.

Do I need to sign again for each new employee? No. Once you've accepted the agreements, they apply to all employees hired through Omnivoo's EOR service. You can hire additional employees without re-signing.
